Terms of Service

By accessing v3rsion.com or engaging V3RSION Inc. (“V3RSION,” “we,” “us,” or “our”) for consulting services, you agree to be bound by these Terms of Service. If you do not agree with any part of these Terms, please discontinue use of this website and do not engage our services.

These Terms apply to website visitors, prospective clients, and contracted clients alike. Additional terms specific to your engagement will be set out in a separate Statement of Work or Master Services Agreement.

V3RSION provides business transformation consulting through the V3 Engine methodology, integrating three disciplines into a single 90-day engagement:

• -Strategy - strategic clarity, competitive positioning, and purpose-driven direction
• -Systems - AI-powered systems via Savra.ai, including custom agents, automated workflows, and real-time dashboards
• -Culture - cultural adoption, team alignment, and transformation embedded into how the organization operates

The exact scope, deliverables, timeline, and commercial terms of any specific engagement are defined in a written Statement of Work executed between V3RSION and the client. In the event of any conflict between these Terms and a Statement of Work, the Statement of Work governs.

V3RSION's services are designed for businesses and business professionals. By engaging V3RSION, you represent that:

• -You are at least 18 years of age
• -You have the authority to bind your organization to contractual obligations
• -Your organization is a legally registered entity in good standing
• -You will use our services only for lawful business purposes

All engagements are formalized through a signed Statement of Work and are subject to V3RSION's standard payment terms unless otherwise agreed in writing.

• -Payment schedule - Fees are payable per the schedule defined in the Statement of Work. Invoices are due net-30 unless otherwise specified.
• -Late payment - Overdue invoices may be subject to interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
• -Cancellation - Cancellation and refund terms are defined in the Statement of Work. Discovery calls and initial consultations carry no financial obligation.

V3RSION guarantees a 3x return on your investment, measured at 9 months following the conclusion of your 90-day engagement. This guarantee applies when the following conditions are met:

• -The client has implemented V3RSION's recommendations in good faith and in material compliance with the agreed engagement plan
• -ROI is measured using mutually agreed-upon metrics established at the start of the engagement
• -The client has provided accurate and complete organizational information throughout the engagement
• -No material adverse business events outside V3RSION's control (including force majeure, fundamental market disruption, or material changes to the client's business) have prevented implementation

If the 3x ROI is not achieved under these conditions, V3RSION will refund the difference between the ROI delivered and the 3x target. The calculation methodology and refund process are detailed in the client's executed Statement of Work and at v3rsion.com/pricing/#guarantee.

All content on v3rsion.com - including text, graphics, logos, the V3 Engine methodology, proprietary frameworks, and brand assets - is owned by V3RSION Inc. and protected by Canadian and international intellectual property laws.

• -V3RSION IP - The V3 Engine methodology, supporting frameworks, and tools remain the exclusive property of V3RSION. Clients receive a limited, non-exclusive license to use engagement deliverables for their own internal business purposes.
• -Client IP - All pre-existing client materials, data, and proprietary information remain the property of the client.
• -Jointly developed work product - Ownership of materials developed collaboratively during an engagement is defined in the Statement of Work.
• -Website content - You may not reproduce, distribute, or create derivative works from any website content without our express written consent.

Both parties acknowledge that during an engagement, each may receive confidential and proprietary information belonging to the other. Each party agrees to hold the other's confidential information in strict confidence, use it only for the purposes of the engagement, and not disclose it to third parties without prior written consent.

Confidentiality obligations do not apply to information that is publicly available, was independently developed without reference to confidential materials, or is required to be disclosed by law or regulatory authority. Detailed confidentiality terms are set out in the Statement of Work or in a separate Non-Disclosure Agreement executed between the parties.

V3RSION may reference the existence of a client relationship and high-level outcomes - without disclosing confidential business details - for marketing and case study purposes, unless the client requests otherwise in writing prior to engagement commencement.

To the fullest extent permitted by applicable law:

• -V3RSION's total aggregate liability for any claim arising from our services shall not exceed the total fees paid by the client in the 12 months preceding the claim.
• -V3RSION shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, regardless of cause.
• -These limitations apply regardless of the theory of liability - whether contract, tort, negligence, or otherwise - and even if V3RSION has been advised of the possibility of such damages.

By using v3rsion.com you agree not to:

• -Use the site for any unlawful purpose or in violation of any applicable regulations
• -Attempt to gain unauthorized access to any portion of the site or any related systems or servers
• -Transmit malicious code, viruses, or any other harmful or disruptive content
• -Scrape, crawl, or programmatically extract data from the site without our written permission
• -Use automated means to interact with the site (except for legitimate search engine indexing)
• -Reproduce, republish, or distribute site content for commercial purposes without express written consent

V3RSION reserves the right to terminate access for any user who violates these terms, at our sole discretion and without notice.

These Terms of Service are governed by and construed in accordance with the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of V3RSION's services shall be addressed first through good-faith negotiation. If the parties cannot resolve the dispute within 30 days, the matter shall be submitted to binding arbitration in Vancouver, British Columbia, in accordance with the rules of the BC International Commercial Arbitration Centre.

Nothing in these Terms prevents either party from seeking injunctive or emergency relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

V3RSION may amend these Terms at any time by posting an updated version to this page. Continued use of our website or services after any amendment constitutes acceptance of the updated Terms.
